1. Acceptance of Terms

By accessing or using the JawabEx platform ("Service"), operated by MoWork ("we", "us", or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Service. These Terms apply to all users, including workspace owners, administrators, and agents.

2. Description of Service

JawabEx is a SaaS platform that enables businesses to build, deploy, and manage AI-powered chatbot agents across messaging channels including WhatsApp, Facebook Messenger, Instagram, and websites. The Service includes AI agent building tools, knowledge base management, multi-channel messaging, voice response capabilities, ticket management, analytics, and team collaboration features.

3. Account Registration

To use the Service, you must create an account with accurate and complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account. You must notify us immediately of any unauthorized access. You must be at least 18 years old to create an account.

4. Subscription Plans & Billing

The Service offers various subscription plans (Trial, Starter, Growth, Business, Enterprise) with different feature limits and usage quotas. Paid subscriptions are billed monthly or annually through our payment provider. You agree to pay all applicable fees. We reserve the right to change pricing with 30 days' notice. Refunds are handled according to our refund policy. Exceeding plan limits may result in service restrictions until you upgrade.

5. Acceptable Use

You agree NOT to use the Service to: - Send spam, unsolicited messages, or bulk messages in violation of applicable laws - Violate any local, national, or international law or regulation - Harass, abuse, or harm other individuals - Distribute malicious software or harmful content - Impersonate any person or entity - Collect or store personal data of end users in violation of privacy laws - Circumvent usage limits, billing, or security measures - Use the platform for any illegal or fraudulent activity - Violate Meta's Platform Terms, WhatsApp Business Policy, or other third-party service terms We reserve the right to suspend or terminate accounts that violate these terms.

6. AI Agent Responsibilities

You are solely responsible for the content, behavior, and responses of AI agents you create and deploy. This includes: - The accuracy and appropriateness of knowledge base content - System prompts and agent configurations - Compliance with applicable laws regarding automated messaging - Ensuring your agents do not provide harmful, misleading, or illegal advice - Disclosure to end users that they are interacting with an AI agent where required by law JawabEx provides the platform and tools; you are responsible for how they are used.

7. Meta Platform Compliance

When connecting WhatsApp, Facebook Messenger, or Instagram channels, you must comply with: - Meta's Platform Terms and Policies - WhatsApp Business Messaging Policy (including template message guidelines) - Facebook Messenger Platform Policy - Instagram Platform Policy - 24-hour messaging window rules for Messenger and Instagram - Template message approval requirements for WhatsApp Business API Violation of Meta's policies may result in your channels being disconnected by Meta. JawabEx is not responsible for actions taken by Meta against your accounts.

8. Intellectual Property

Your Content: You retain ownership of all content you upload, create, or generate using the Service, including knowledge bases, agent configurations, and conversation data. Our Platform: The JawabEx platform, including its software, design, features, and documentation, is owned by MoWork and protected by intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to use the Service for its intended purpose. AI-Generated Content: Content generated by AI agents through the Service does not confer intellectual property rights to any party beyond what is permitted by applicable law.

9. Data & Privacy

Your use of the Service is also governed by our Privacy Policy. By using the Service, you acknowledge that: - Message data from connected channels is processed by our servers - AI responses are generated using third-party language models - Voice features involve audio processing through third-party services - Analytics data is collected to provide platform insights You are responsible for complying with applicable data protection laws (including GDPR, PDPL) regarding the personal data of your end users processed through the Service.

10. Service Availability & Limitations

We strive to maintain high availability but do not guarantee uninterrupted service. The Service is provided "as is" and "as available". We are not liable for: - Downtime due to maintenance, updates, or unforeseen issues - Third-party service outages (Meta APIs, AI providers, etc.) - Data loss due to factors beyond our reasonable control - Inaccurate or inappropriate AI-generated responses - Actions taken by end users based on AI agent responses

11. Limitation of Liability

To the maximum extent permitted by law, MoWork shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, arising from your use of the Service. Our total liability shall not exceed the amount you paid us in the 12 months preceding the claim.

12. Termination

You may terminate your account at any time from your workspace settings. We may suspend or terminate your access if you violate these Terms or for any reason with 30 days' notice. Upon termination: - Your access to the Service will cease - Active channel connections will be disconnected - Your data will be retained for 30 days, then permanently deleted - Outstanding payment obligations remain due

13. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes via email or platform notification. Continued use after changes take effect constitutes acceptance. If you disagree with changes, you should discontinue use and close your account.

14. Governing Law

These Terms are governed by and construed in accordance with the laws of the Kingdom of Saudi Arabia. Any disputes shall be resolved through the competent courts in Riyadh, Saudi Arabia.
